These Terms of Service (“Terms”) govern your use of DelCommerce services and website. DelCommerce operates as a service brand under Deljoo Inc. (Canada) and DeljooSoft LLC (USA) (collectively, “DelCommerce”, “we”, “our”, or “us”).

By accessing or using our services, you agree to these Terms.

1. Services

DelCommerce provides:

• eCommerce website development
• WooCommerce and platform customization
• Maintenance and support services
• Consulting and digital strategy

All services are provided based on project scope, proposals, or separate agreements.

2. Client Responsibilities

Clients agree to:

• Provide accurate and complete information
• Supply required content, assets, and access credentials
• Review and approve deliverables in a timely manner
• Comply with all applicable laws and regulations

DelCommerce is not responsible for delays caused by the client.

3. Payments and Fees

• All fees are defined in proposals, invoices, or agreements
• Payments must be made according to agreed terms
• Late payments may result in service suspension

Unless otherwise stated:

• Payments are non-refundable
• Ongoing services require recurring payments

4. Scope of Work and Changes

• Work is limited to the agreed scope
• Additional requests may require extra fees
• DelCommerce may decline out-of-scope work

5. Third-Party Services

DelCommerce solutions may include:

• Payment gateways (Stripe, PayPal, etc.)
• Hosting providers
• Plugins and extensions
• Marketing and analytics tools

DelCommerce is not responsible for:

• Third-party downtime or failures
• Pricing or service changes
• Security or data practices

Clients are responsible for managing third-party accounts.

6. Payments and Transactions

• DelCommerce does not process or store full payment card data
• Transactions are handled by third-party providers

DelCommerce is not liable for:

• Payment failures or errors
• Fraud or chargebacks
• Financial losses

7. Data and Customer Information

• Clients own and control all customer data
• Clients must comply with privacy laws
• DelCommerce acts only as a technical service provider

8. Intellectual Property

• Clients retain ownership of their content
• Upon full payment, clients receive rights to deliverables

DelCommerce may:

• Reuse general code and frameworks
• Use work for portfolio and marketing

9. Support and Maintenance

• Support is provided only if included in an agreement
• Response times may vary
• Emergency work may incur additional fees

10. Service Availability

We do not guarantee:

• Continuous or uninterrupted service
• Error-free operation
• Compatibility with all systems

11. Limitation of Liability

To the maximum extent permitted by law:

• DelCommerce is not liable for indirect or consequential damages
• We are not responsible for lost revenue, data, or opportunities
• Liability is limited to the amount paid for services

12. Indemnification

Clients agree to indemnify DelCommerce from:

• Claims related to their content or data
• Legal violations
• Misuse of systems or services

13. Termination

We may suspend or terminate services if:

• Payments are not made
• Terms are violated
• Illegal or improper use is detected

Clients may terminate services based on agreement terms.

14. Governing Law

These Terms are governed by applicable laws in:

• Canada for Deljoo Inc.
• United States for DeljooSoft LLC

15. Changes to Terms

We may update these Terms at any time. Continued use of services means acceptance of updates.
